A new Latvian SIA must be created from nothing. Not for changing an existing SIA's board — use company.change-board-member; not for moving its registered address — use company.change-legal-address; not for keeping an eye on an existing company's register entries — use company.registry-watch. 1. S1

   Collect the founder briefaģents

   Record: name candidates, founders with ID data, share capital and split, legal address, board member, planned activity.

2. S2

   Check the name in the Registeraģents

   Search the Enterprise Register for the candidate names and close variants; check for restricted words.

   Izdarīts, kad each candidate is marked available / taken / doubtful, with the search date.

   ⛔ "It sounded free" is not a check — the Register refuses a name at filing and the fee is not refunded.

   Present the candidates with the S2 results and a recommendation for name, capital, board member and legal address.

4. S4

   Prepare the documentsaģents

   Draft the founding agreement, the satversme (articles: name, registered office, activity, capital, board), the legal address owner's consent and the board member's consent, in the form the Register expects.

   Izdarīts, kad every document exists as a draft and matches the S3 decisions exactly.

   ⛔ The satversme wording is checked against the Register's requirements — a one-word deviation is a rejection.

   Founders and the board member sign the founding documents — with e-paraksts where accepted, otherwise before a sworn notary (see documents.sign-with-eparaksts).

   Submit the application to the Enterprise Register with the signed documents and pay the state fee after the owner approves the amount.

   Izdarīts, kad the Register shows the application as received with its case number.

7. S7

   Verify the registrationaģents

   After the Register's processing time, check the status; on registration, download the extract and read back the registration number, name, legal address, capital and board member.

8. S8

   Record and hand backaģents

   Archive the signed documents and the extract in documents; create tasks with bc tasks add for what follows: bank account, VAT decision with the accountant, first bookkeeping period, mailbox (tech.create-mailbox).

   Izdarīts, kad the owner receives a summary: registration number, registered address, board member, open tasks.

Pārbaudes — kā zinām, ka izdevās

• The extract from ur.gov.lv (not the draft) shows the company name, registration number, legal address, capital and board member exactly as decided in S3.
• Every founder's and the board member's name and ID in the extract match their identity documents.
• The signed founding agreement, satversme and address consent are archived and linked to the company record.
• The state fee payment is recorded against the case number.

Kā šī procedūra uzlabojas

After every 5 runs ask: days from ask to registration number, and which step waited longest? Was any filing rejected, and did the rejection repeat across runs? Did any registered field later need a change filing? A new version changes the step that caused the wait or the rejection, and says so in its change note.
