Register a new limited company (SIA) in Latvia

A new SIA exists in the Latvian Enterprise Register with the company's own documents, board and legal address, and the registration extract is archived.

When to use

A new Latvian SIA must be created from nothing. Not for changing an existing SIA's board — use company.change-board-member; not for moving its registered address — use company.change-legal-address; not for keeping an eye on an existing company's register entries — use company.registry-watch. VAT registration after incorporation is its own path — see money.vat-return-lv for the ongoing duty.

Before you start

  • Founders, share capital, legal address and the board member are decided by the owner — the agent never invents them.
  • The legal address owner has agreed in writing to host the registered address.
  • Every founder has an e-paraksts or access to a sworn notary for certification.
  • ⚠ verify minimum share capital for SIA and whether a reduced capital is allowed for this founder setup — likumi.lv (Komerclikums) and ur.gov.lv.

What a run requires5

  • Approval · S3 · ownerthe run stops until a named person records the decision
  • Approval · S5 · ownerthe run stops until a named person records the decision
  • Irreversible · S5an agent never closes it alone
  • Approval · S6 · ownerthe run stops until a named person records the decision
  • Irreversible · S6an agent never closes it alone

Any step can wait until a date and reopens by itself; every closed step leaves evidence (a note, a link, a number).

The trail8 steps

  1. Collect the founder briefagent

Record: name candidates, founders with ID data, share capital and split, legal address, board member, planned activity.

Done when the brief is one written page and the owner has confirmed it.

  2. Check the name in the Registeragent

Search the Enterprise Register for the candidate names and close variants; check for restricted words.

Done when each candidate is marked available / taken / doubtful, with the search date.

⛔ "It sounded free" is not a check — the Register refuses a name at filing and the fee is not refunded.

  3. Decideownerneeds approval · owner

Approval · S3 · owner — the run stops until a named person records the decision

Present the candidates with the S2 results and a recommendation for name, capital, board member and legal address.

Done when the owner has named the final company name, capital and board member.

  4. Prepare the documentsagent

Draft the founding agreement, the satversme (articles: name, registered office, activity, capital, board), the legal address owner's consent and the board member's consent, in the form the Register expects.

Done when every document exists as a draft and matches the S3 decisions exactly.

⛔ The satversme wording is checked against the Register's requirements — a one-word deviation is a rejection.

  5. Signownerneeds approval · ownerirreversible

Approval · S5 · owner — the run stops until a named person records the decision

Irreversible · S5 — an agent never closes it alone

Founders and the board member sign the founding documents — with e-paraksts where accepted, otherwise before a sworn notary (see documents.sign-with-eparaksts).

Done when signed, dated documents exist for every founder and the board member.

  6. File with the Registeragentneeds approval · ownerirreversible

Approval · S6 · owner — the run stops until a named person records the decision

Irreversible · S6 — an agent never closes it alone

Submit the application to the Enterprise Register with the signed documents and pay the state fee after the owner approves the amount.

Done when the Register shows the application as received with its case number.

  7. Verify the registrationagent

After the Register's processing time, check the status; on registration, download the extract and read back the registration number, name, legal address, capital and board member.

Done when the extract exists and every field matches the S3 decisions.

  8. Record and hand backagent

Archive the signed documents and the extract in documents; create tasks with bc tasks add for what follows: bank account, VAT decision with the accountant, first bookkeeping period, mailbox (tech.create-mailbox).

Done when the owner receives a summary: registration number, registered address, board member, open tasks.

Checks — how we know it worked

  • The extract from ur.gov.lv (not the draft) shows the company name, registration number, legal address, capital and board member exactly as decided in S3.
  • Every founder's and the board member's name and ID in the extract match their identity documents.
  • The signed founding agreement, satversme and address consent are archived and linked to the company record.
  • The state fee payment is recorded against the case number.

If it goes wrong

SymptomResponse
Register refuses the nameRead the refusal reason, prepare 1–2 alternative candidates, repeat S2–S3; do not refile the same name with cosmetic changes.
Documents rejected on formalityCompare the refusal to the satversme wording line by line; fix in S4, re-sign only the affected document, refile once.
Founder data mismatch (spelling, ID)Correct the document and identity data before refiling — a wrong name in the register costs a later change filing.
Legal address owner withdraws consentStop the filing; get a new address and a new consent before S6, never after.
Registration takes longer than statedCheck the case status at ur.gov.lv; if silent past the stated period, contact the Register with the case number. ⚠ verify current processing times — ur.gov.lv.

What each step leaves behind

  1. S1the brief is one written page and the owner has confirmed it.
  2. S2each candidate is marked available / taken / doubtful, with the search date.
  3. S3the owner has named the final company name, capital and board member.
  4. S4every document exists as a draft and matches the S3 decisions exactly.
  5. S5signed, dated documents exist for every founder and the board member.
  6. S6the Register shows the application as received with its case number.
  7. S7the extract exists and every field matches the S3 decisions.
  8. S8the owner receives a summary: registration number, registered address, board member, open tasks.

Evidence to keep

S1 brief · S2 name search results with dates · the owner's S3 decision (who, when) · signed founding documents · Register case number and fee receipt · the registration extract with its download date · the S8 task list.

How this playbook improves

After every 5 runs ask: days from ask to registration number, and which step waited longest? Was any filing rejected, and did the rejection repeat across runs? Did any registered field later need a change filing? A new version changes the step that caused the wait or the rejection, and says so in its change note.
